Terms of Use

This CoLab India program (hereinafter referred to as “Program”) is an initiative of Mondelez India Foods Private Limited having its registered office at Unit No 2001, 20th Floor, Tower-3 Wing-C, One International Center Parel, Mumbai- 400 013 (“Mondelez”). Please read these terms and conditions including the ones set out in Annexures hereto (together “T&Cs”) before participating in this Program. In case of conflict, the provisions of the Annexures shall prevail.

 

Participation in this Program is voluntary. You agree that, if you chose to participate in this Program, you will be bound by these T&Cs and you acknowledge that you satisfy all Program eligibility requirements as provided herein below.

 

Mondelez has engaged with Xpanse Services LLP to organize and run this Program from Mondelez (hereinafter referred to as “Program Partner” or “Huddle”).

 

For the purposes of these T&Cs, wherever the context so requires “You” or “Your” shall mean any natural person who is a participant in the Program and “We” or “Our” or “Mondelez” shall mean Mondelez India Foods Private Limited, its parent and group companies.

 

1. ELIGIBILITY:

 

1.1. You need to fulfil the following eligibility criteria to participate in the Program:

1.1.1. You are a proprietorship, partnership firm, LLP or body corporate operating a business for less than 10 years in India and which qualifies as a start-up (your “Firm”) as per the applicable laws in India;

1.1.2. Your Firm must be a going concern, registered and operating as per the laws in India and incorporate as a private limited corporate (without any public shareholding) with all required licenses, consents and permissions;

1.1.3. The Founders of your Firm must be involved into full-time operations and management of the Firm;

1.1.4. During the Program Your Firm should not become subject to or involved in any act or omission which has caused or may cause your Firm to be subject to disrepute or proven violation of law or which may have the potential of exposing Mondelēz to any disrepute or violation of any law as part of any association with your Firm as part of the Program. In such event all benefits would be immediately withdrawn and your participation in the Program would be annulled.

1.1.5. Your Firm shall be legally competent to enter into binding contract under the applicable laws of India and must not have any known conflicts which prevent you from participating in the Program;

1.1.6. If you receive any benefits under the Program you will be solely responsible for compliance with applicable laws, including without limitation, tax and other financial/corporate laws;

1.1.7. Mondelēz makes no warranty or representation or guarantee that you will be the recipient of any specific benefit under the Program by virtue of your participation and any benefit that you may receive shall be strictly subject to these terms and conditions;

 

All who fulfil the eligibility criteria to participate in the Program shall individually be considered and referred to as “Participant” and collectively “Participants” for the purpose of these T&Cs.

 

1.2. Our and/or Program Partners and/or Program Partner employees, their immediate family members (spouses, domestic partners, parents, grandparents, siblings, children and grandchildren), and our/their affiliates, advisors, advertising/ Program agencies are not eligible to participate or avail any benefits under the Program.

 

1.3. The Program is subject to all applicable central, State and local laws and regulations in India. The Program may at any time at the sole discretion of Mondelēz be terminated/ cancelled/amended/suspended for any reasons without providing any prior notice to the Participants. No claims shall be entertained in this regard.

 

1.4. Mondelez reserves the right to exclude or disqualify any person from the Program on grounds of: (a) misconduct or criminal record or acted or have the intention to act in a dishonest or fraudulent manner or in bad faith; (b) tampering with the entry process or the operation of the Program; (c) acting in violation of these T&Cs; (d) acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person; (e) entries being offensive, distasteful, unacceptable or against the ethos and principles of Mondelez or which may be considered disparaging; or (f) for any other reasons, as it may deem fit and proper.

 

2. DETAILS OF THE PROGRAM:

 

2.1. Mondelez is running an accelerator program for start-ups in partnership with Huddle.

2.2. Huddle is Mondelēz ’s partner in the Program to manage, run, evaluate and identify, in consultation with Mondelez, potential opportunities to invest in participants as part of CoLab India. CoLab India is a Mondelez owned property and program. This association in no way creates a legal partnership between the respective Participants and Mondelez.

2.3. This Program CoLab India is created to attract relevant snacking start-ups to share insights, data, ideas and business models applicable to the start up ecosystem for Participants falling within the early to growth stage startups.

2.4. If a start-up wish to participate in the Program, they may submit their entry by filling the application form available at https://huddle.work/MondelezColabIndia/ (“Website”).

 

3. OUTCOME OF THE PROGRAM:

 

3.1. SHORTLISTED PARTICIPANTS FOR GRANT:

3.1.1. Participants who have submitted their entry as part of this Program will be shortlisted at the sole discretion of Mondelez India in consultation with Huddle;

3.1.2. Shortlisted Participants i.e. start-ups who have applied and/or are identified to be a part of the Program will be provided one time Grant of upto a maximum $20,000 US Dollars (Payable as INR 1,655,398 as per conversion rate of 1$ = Rs.82.77).

3.1.3. For the purpose of clarity, Grant shall not be treated or construed in any manner whatsoever as any form of investment, through equity or otherwise in the Firm.

3.1.4. The Grant will be provided subject to evaluation, due diligence of Mondelez and/or Huddle as required;

3.1.5. Any additional services, support, monetary and/or non-monetary in addition to the above Grant will be at the discretion of Mondelez and/or Huddle to the shortlisted Participants as part of the cohort of the Program.

3.1.6. Any decision for providing the Grant would be subject to prior evaluation under applicable laws of India and execution of the relevant agreements and such other documentation as necessary between Mondelez and the shortlisted Participants.

 

3.2. CREDITS:

 

3.2.1. Shortlisted Participants will be provided extended support through mentors and experts selected at the discretion of Mondelez and/or Huddle. As part of the Program, the shortlisted Participants may also be provided infrastructure credits in the form of credits for Cloud Services and/or credits to be decided by Mondelez and Huddle.

 

3.3. SHORTLISTING CRITERIA FOR GRANT AND CREDITS

 

The Program is looking out for upto 7 startups that are disruptive in the snacking category by being purposefully innovative in food production and packaging, challenging marketing and branding norms, running a differentiated business and/or driving growth through new avenues. The disruptions should be applicable to cookies, crackers, chocolate, in-store bakery or bars. The shortlisting criteria are indicative in nature and Mondelez and/or Huddle reserve its rights to amend/modify such other criteria as deem fit and necessary for the purpose of CoLab Program.

 

3.4. DEMO DAY AND FUNDING:

 

3.4.1. The Program will include a demo-day for shortlisted Participants to present to external investors who will be selected by Mondelez and/or Huddle to evaluate such Participants for Grant on a case to case basis, unique to each company. The decision to extend funding will be entirely at the discretion of the external investor and subject to its own terms and conditions should any funding be extended by such external investor;

3.4.2. Shortlisted Participants who will be presenting on the demo-day give their consent to present their solution/product/business plan in order to be present at the demo-day;

3.5. The demo-day will take place during the Program, which will be from the month of February 2023 up until October 2023, or any other dates at the discretion of Mondelez and/or Huddle.

3.6. The Program aims at providing a platform for shortlisted Participants for presenting on demo-day for attracting financing for their start-ups. There is no-guarantee to the Participants for receiving any funding as part of the Demo Day event.

 

4. ADDITIONAL TERMS:

 

4.1. You acknowledge that Mondelez and/or Huddle may already be independently working on the same technology/solution/product/use case as covered by your submission. You understand and agree that no contractual obligation or liability or working relationship is being created between yourself and Mondelez and/or Huddle by submitting your application in this Program. You hereby agree to waive off any claims in this regard.

 

4.2. We may, at our sole discretion, change the T&Cs or cancel the Program at any time; or modify, terminate, or suspend the Program for any reason whatsoever including fairness or proper play of the Program or submission of entries.

 

4.3. By entering the Program, the Participant hereby releases Mondelez and/or their Program Partner from and agrees to indemnify Mondelēz and/ or their Program Partner and/or Program Partner and any of their respective officers/employees/directors/representatives/agents from and against all liability, cost, loss or expense arising out of acceptance of receipt of Grant or participation in the Program including (but not limited to) personal injury and damage to property or any violation of intellectual property rights of a third party or any law and whether direct, indirect, consequential, foreseeable, due to some negligent act or omission, or otherwise.

 

4.4. We, in our sole discretion reserve our right to exclude You from the Program and/or not to attribute any Grant, and/or to cancel all or part of the Program, without any liability on our part, if We believe You have (a) breached any of these T&Cs; (b) acted or have the intention of acting in a dishonest or fraudulent manner, or in bad faith, including providing incorrect or fraudulent/fictitious data; (c) tampered with the entry process or the operation of the Program; (d) acted in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person (e) become subject to or involved in any act or omission which has caused or may cause your Firm to be subject to disrepute or proven violation of law or which may have the potential of exposing Mondelēz to any disrepute or violation of any law as part of any association with your Firm as part of the Program. In such event all benefits would be immediately withdrawn and your participation in the Program would be annulled.

 

4.5. If this Program is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Mondelez, including but not limited to technical difficulties, unauthorized intervention or fraud, or legal and regulatory challenges, Mondelez may in addition to its other rights reserves the right, in its sole discretion, to the fullest extent permitted by law (a) to cancel the entry of any Participant; or (b) subject to any written directions from a regulatory authority, to modify, suspend, terminate or cancel the Program, as appropriate.

 

4.6. Mondelez and/or Program Partner and/or their respective affiliates, and their officers, directors, employees accepts no liability and shall not be responsible and/or liable in any manner whatsoever in case the Participant is unable to submit his/her entry for any reasons whatsoever including due to failure on the part of the telecom operator, facility provider, internet issues, device compatibility, capacity constraints. etc.

 

4.7. All attempts will be made by the Program Partner to protect the data submitted to it by a Participant from loss and corruption, but in the event such data loss happens, Program Partner may have to continue with whatever data is available, or in any other manner as it may deem reasonable. Mondelez and the Program Partner should not be held responsible for any loss of data or the action

taken on account of the same. Mondelez and/or Program Partner and/or their respective affiliates and their officers, business partners, directors, employees will not be held responsible to make good any such loss or dissatisfaction on account of such loss.

 

4.8. Program Partner will take reasonable efforts to ensure that there is no security breach at its end in the course of conduct of submission of entry for the Program and/or that there is no data / entry loss and/or any other loss at its end. However, in the event of a security breach and/or data/ entry loss and/or any other loss for any reasons whatsoever, Mondelez and/or Program Partner and/or its affiliates, their respective officers, directors, employees will not be responsible or liable in any manner whatsoever for any loss on account of any such instances as may be sustained by the Participant. Mondelez and/or Program Partner and/or its affiliates, their respective officers, directors, employees shall have the right at all times to exclude or disregard any entries submitted during any period where a security breach or data/entry loss or any other loss occurs.

 

5. MISCELLANEOUS:

 

5.1. This Program is being made purely on a “best effort” basis and participation in this Program is at your sole discretion and on a voluntary basis.

 

If there are any Government restrictions imposed on any aspect which may impact the operation of the Program as usually planned, Mondelez and the Program Partner cannot be held liable due to such restrictions including for inability to provide the Grant or any other benefit under the Program.

 

5.2. You agree that all decisions related to the Program made by Us are final and binding on You. Failure by Mondelez and/pr Program Partner to enforce any of these T&Cs in any instance shall not be deemed to be a waiver of the T&Cs and shall not give rise to any claim by any person.

 

5.3. We will not be liable for any costs incurred by You in connection with Your participation in the Program. Announcements and information about the Program shall be posted on the same website where these T&Cs are posted.

 

5.4. For any disputes, complaints, queries pertaining to this Program you may write to [incorporate our HO address] addressed to “Head of Strategy”

 

5.5. If You are dissatisfied with the Program or any aspect of the Program including the Program rules, any content, any requirements of the Program form, the materials available related thereto, these T&Cs, etc. , Your sole and exclusive remedy is to not participate in the Program.

 

5.6. If a person chooses to access this Program from outside India, he/she shall do so on his/her own initiative and shall be responsible for compliance with applicable local laws of the country.

 

6. INTELLECTUAL PROPERTY RIGHTS AND ACCESS TO DATA:

 

6.1. All right, title and interest, including but not limited to the intellectual property rights, in the promotional material(s) and all Program or Product related material shall vest solely and exclusively with Mondelez at all times.

6.2. Mondelez or Huddle and any person or third party entity permitted by Mondelez or Huddle in this regard shall be entitled to use the responses/material, data or any information in connection with

the entry, received in any medium whatsoever by the Participant (“Data”), for analysis and insights, without any further permission and or payment to the Participant. Such data shall be held as confidential within Mondelez and its partner Huddle and shall be used for internal purposes only. Such data may also be shared with any third party that may be engaged for the purpose of this reviewing the applications under this Program. Should such data be shared with any third party, the same shall be shared under confidentiality agreements to be executed between Mondelez or Huddle, as the case may be and such relevant third party.

6.3. You hereby represent and warranty that no intellectual property is breached on your submission of your entry as part of this Program. Further, you are permitting Mondelez and/or Huddle for using your intellectual property for the purpose of evaluation under this Program;

6.4. Any intellectual property, already owned by either Party, prior to the Program will be exclusively owned by such Party. For the purpose of this clause “Party” shall mean You or Mondelez as the case may be.

 

7. PERSONAL INFORMATION AND PRIVACY POLICY:

 

7.1. When You participate in the Program, we collect, receive, possess, use, store, handle, transfer, process and otherwise deal with personal information which is provided by You. This information may vary but will typically include information like first and last name, mailing address, complete date of birth, e-mail address, contact number, identity verification documents and details therein, etc. While doing so We collect, receive, possess, use, store, handle, process and deal with personal information from You that We consider necessary for the purposes of the Program. By participating in the Program and/ or by providing Your information, You consent to the collection, receiving, possession, use, storage, dealing, processing, sharing and handling of the information including personal information You disclose to Us.

 

7.2. Please also visit the Privacy Notice of Mondelez in the Program Home Page where these T&Cs are posted, to understand and acknowledge what we do with your information including your personal data. Please note that your acceptance of these terms and conditions and Your participating in the Program and/ or providing the information is deemed to signify your agreement to the Privacy Notice as well and the necessary consent to what could be done with the information including personal data You provide as described in the Privacy Notice.

 

7.3. Participants hereby authorize Us and/or Program Partner to use the personal data shared in connection with the Program.

 

7.4. It is important to remember that whatever You transmit or disclose can be collected and used by others or unlawfully intercepted by third parties. No data transmission can be guaranteed to be 100% secure. While we strive to use commercially reasonable means to protect Your information, We cannot warrant the security of any information You transmit to Us.

 

7.5. Your personal information may be retained and may continue to be used until: (i) the relevant purposes for the use of Your information described in this clause are no longer applicable; and (ii) We and/or Program Partners are no longer required by applicable law, regulations, contractual obligations or legitimate business purposes to retain Your personal information and the retention of Your personal information is not required for the establishment, exercise or defense of any legal claim.

 

8. FORCE MAJEURE:

 

This Program is subject to force majeure circumstances including without limitation, floods, natural disasters, war, act of terror, political unrests, technical snags, lockdowns or related restrictions, act of God or any circumstance beyond the reasonable control of Mondelēz and/or Program Partner (“Force Majeure Event”). We and/or Program Partner shall not be liable for any delay or adverse effect caused to the Participants in the Program including the Prize Winners/Prize(s) as a result of a Force Majeure Event.

 

9. GOVERNING LAW AND JURISDICTION:

 

9.1. The courts of competent jurisdiction at Mumbai shall have sole and exclusive jurisdiction to determine any and all disputes arising out of, or in connection with the Program. Participation in the Program is unauthorized in any jurisdiction that does not give effect to all provisions of these T&Cs, including (without limitation) this clause.

 

9.2. Further all issues and questions concerning the construction, validity, interpretation and enforceability of these T&Cs, or the rights and obligations of the Participants and/or Mondelez and/or Program Partner, shall be governed and construed in accordance with the laws of the Republic of India.

 

10. PUBLICITY:

 

By participating in the Program, You give Mondelēz and/ or its affiliates permission to use your name, likeness, images, videos, voice, appearance and the like as such may be embodied in any pictures, photos, video recordings, audiotapes, digital images, and the like (“Publicity Material”), provided or taken or made in relation to the Program and any promotions, events, or Programs to follow. You agree that Mondelez and/or its affiliates have the right to publish Your saved item details/Publicity Material for any communication, promotions, events or Programs of Mondelez and/or its affiliates that follow. You agree that Mondelez and/ or its affiliates have complete ownership of Your Publicity Material, including the copyright therein, and may use them for any purpose. These uses include, but are not limited to illustrations, bulletins, exhibitions, videotapes, reprints, reproductions, publications, advertisements, and any promotional or educational materials in any medium now known or later developed, including the internet. You acknowledge that you will not receive any compensation for the use of the Publicity Material, and hereby release Mondelez and/ or its affiliates and its agents and assigns from any and all claims which arise out of or are in any way connected with such use.

 

11. LIABILITY RELEASE:

 

11.1. By participating in the Program, you will be legally bound hereby, to release from liability, and hold harmless, Mondelez, Program Partner and any of its / their respective affiliates, employees, directors, representatives and agents for any matters and for any and all liability in relation to this Program, including in relation to any Grant or other benefits offered or received under this Program or in connection with any activity or directly or indirectly, by reason of the acceptance, possession, or participation in the Program.

 

11.2. By participating in this Program, you agree to indemnify Us, Program Partner and any of its/ their respective officers/employees from and against all liability, cost, loss or expense arising out of acceptance of Grant or other benefits in the Program including (but not limited to) personal injury and damage to property and whether direct, indirect, consequential, foreseeable, due to some negligent act or omission, or otherwise.

 

You shall be liable for all the taxation that might arise out of the receipt of Grant or any other benefits from this Program and shall not hold Mondelez and/or Program Partner and/ or its/their respective affiliates responsible for payment of the same and/ or any dispute arising in relation thereof.

Recent developments such as the SEBI Circular surrounding revamped ESG and Sustainability reporting are a welcome addition, encouraging large-scale enterprises to adopt tech solutions that aid in carbon reduction, ESG compliance, and Climate Education.
Carbon (Dioxide) is one of the building blocks of all organisms on Earth, such that it allows Earth to hold it’s energy. Carbon Sequestration is the process of capturing and storing atmospheric carbon dioxide. It is one method of reducing the amount of carbon dioxide in the atmosphere with the goal of reducing global climate change.   There has been growth in startups working on carbon capture/tech sequestration that capture CO2/ GHGs and utilize them to create value-added products and/ or sell offsets on exchanges.
Given the large depth in climate finance required, emerging forms of climate finance will be important for us to consider. For example, Refi (Regenerative Finance) is a movement focusing on the power of blockchain and web3 to address climate change, support conservation and biodiversity, and create a more equitable and sustainable financial system.
Energy storage and management for mobility & transport use cases have observed strong investor traction historically, and we believe this trend will continue in the next 3-5 years. This includes Electric vehicles as a category.

Agriculture has vast potential with respect to climate change. Building agri-food supply chain efficiencies will be very important to reduce post-harvest food losses. Hence, solutions that use technology to reduce food losses from farm-to-folk or provide cold-chain infra would be relevant to consider. 

 

Additionally, precision agriculture will be crucial to increasing farm yields, but the sector is vast ranging from farm advisory to Agri inputs to IoTs and deep tech hardware solutions. Hence, we will opportunistically look at this theme to scout good startups.
